reading-10k-10q

reading-10k-10q is a skill for Claude Code, Codex from erphq/skills. It costs 63 tokens per session (2,337 once invoked), scanned A, original, MIT.

A guide to reading U.S. Securities and Exchange Commission filings, such as a company’s yearly 10-K, quarterly 10-Q, event-driven 8-K, and proxy statement. It shows which sections contain useful information and what changes or omissions may signal.

In plain words
What is it for?
It helps analyze public companies, review annual and quarterly reports, identify warning signs, compare filings over time, and verify claims against EDGAR, the SEC’s free filing database.
Why use it?
SEC filings can run to hundreds of pages, making it easy to miss important details or spend time on low-value sections. This guide helps focus research on the parts that explain the business, risks, finances, and management’s disclosures.

Token cost

What it costs to keep this loaded

Counted locally with the o200k_base tokenizer, which is exact for GPT models; Claude uses its own tokenizer and its counts differ. Treat this as one consistent yardstick across the catalogue rather than a bill. Prices are per million input tokens.

ModelPer sessionOnce invoked
Fable 5.1 $0.00063 $0.02337
Opus 5.5 $0.00025 $0.00935
Sonnet 5.5 $0.00013 $0.00467
Haiku 4.5 $0.00006 $0.00234

Security

Grade A, and why

reading-10k-10q scanned grade A with 0 findings against 26 rules in 11 categories — prompt injection, anti-refusal, data exfiltration, privilege escalation, supply chain, agent snooping, system-prompt leakage, SSRF and excessive agency — measured 1mo ago.

A static scan of the body, not an audit. Every finding is printed with the line that produced it so you can judge whether it matters here. A mod is markdown that instructs an agent; that is exactly why what it instructs is worth reading.

Nothing flagged

None of the 26 patterns this scan looks for appear in this file: no shell pipes, no recursive deletes, no credential paths, no hidden text, no instruction-override or anti-refusal phrasing, no agent-config snooping. That is not a guarantee, it is the absence of the things that are checkable.

Reading 10-K / 10-Q

What This Skill Does

This is how to read an SEC filing efficiently and extract the information that matters for research. A 10-K can be 200+ pages; 80% of the signal is in 20% of the sections. Knowing which sections, what to look for, and what the patterns reveal is the difference between useful research and wasted time. 10-Q (quarterly) is shorter but contains fresher data; 10-K (annual) is comprehensive but can be 12 months stale on forward-looking context.

Filings are accessed via SEC EDGAR (free, primary source) or via brokerage platforms (convenient but sometimes lagging). Always verify claims against EDGAR for anything material.

What's in a 10-K (in reading order of importance)

Must-read sections (80% of the value)

Item 1 — Business: Where the company describes what they do, who customers are, competitive landscape, employees, seasonality. Read this first every year even if you know the company — changes year-over-year reveal strategic shifts.

Item 1A — Risk Factors: Everything that could go wrong, in the company's own words. Read every year — new risks appearing signal concerns; risks being removed signal resolution (rare) or deflection. Ignore the boilerplate ("our stock price may be volatile"); focus on the company-specific ones.

Item 7 — MD&A (Management Discussion & Analysis): Management's narrative on the financials. How management explains variance, what they highlight, what they gloss over. Compare MD&A year-over-year: does the story change? Are metrics emphasized this year that weren't last?

Item 8 — Financial Statements + Footnotes: The numbers + footnotes. Footnotes are where the real information is — accounting policies, segment disclosures, deferred revenue, commitments, contingencies, subsequent events, revenue recognition policy specifics. Spend 2–3× time on footnotes vs the primary statements.

Item 11 (via Proxy) — Executive Compensation: Not in 10-K but in the Proxy (DEF 14A) filed separately. CEO + top executive compensation structures reveal what management is incentivized to do (revenue growth vs margins vs stock price vs ESG vs specific strategic metrics).

What this file has done since we first saw it

Hashed on every crawl. A supply-chain change to an agent config is a question of when, not whether, so the history is kept rather than the latest state alone.
