document-diligence

document-diligence is a skill for Claude Code, Codex from microsoft/cat-agent-skills. It costs 154 tokens per session (2,164 once invoked), scanned A, original, MIT.

A document review that turns supplied deal files—such as contracts, financial statements, board presentations, and ownership tables—into a cited summary, discrepancy check, issues list, and seller question tracker.

In plain words
What is it for?
Use it for investment or acquisition due diligence: reviewing data-room files, finding conflicting details, and tracking questions that need answers.
Why use it?
It makes it easier to compare statements across a pile of documents and trace each finding back to its source and page.

Token cost

What it costs to keep this loaded

Counted locally with the o200k_base tokenizer, which is exact for GPT models; Claude uses its own tokenizer and its counts differ. Treat this as one consistent yardstick across the catalogue rather than a bill. Prices are per million input tokens.

ModelPer sessionOnce invoked
Fable 5.1 $0.00154 $0.02164
Opus 5.5 $0.00062 $0.00866
Sonnet 5.5 $0.00031 $0.00433
Haiku 4.5 $0.00015 $0.00216

Security

Grade A, and why

document-diligence scanned grade A with 0 findings against 26 rules in 11 categories — prompt injection, anti-refusal, data exfiltration, privilege escalation, supply chain, agent snooping, system-prompt leakage, SSRF and excessive agency — measured 2d ago.

A static scan of the body, not an audit. Every finding is printed with the line that produced it so you can judge whether it matters here. A mod is markdown that instructs an agent; that is exactly why what it instructs is worth reading.

Nothing flagged

None of the 26 patterns this scan looks for appear in this file: no shell pipes, no recursive deletes, no credential paths, no hidden text, no instruction-override or anti-refusal phrasing, no agent-config snooping. That is not a guarantee, it is the absence of the things that are checkable.

How it starts

The opening of the file, as written. The whole thing — 181 lines — stays where its author put it; the contents beside it link to each section on GitHub.

Document Diligence

Turns a pile of deal documents into a structured, citable summary and a live issues and Q&A tracker. The cross-check between documents is the point; the summary is scaffolding. Works entirely on documents the user supplies — no external data required.

When NOT to Use

  • Tearing down a single CIM or management presentation and challenging the add-backs — use cim-teardown instead.
  • Tracking which requests the seller still owes and drafting chases — use dd-checklist instead.
  • Writing the recommendation for committee — use ic-memo instead.
  • Public-source background on a listed company — use company-profile-pack instead.
  • Valuing the asset or advising whether to proceed — outside this skill's scope.

Hand off rather than overlap:

  • Seller-framing and adjustment challenge on the CIM itself — use cim-teardown instead.
  • Request list, aging and red flag register — use dd-checklist instead; the issues list here feeds it.
  • The committee paper and its risk section — use ic-memo instead.
  • Peer multiples on the target — use comps-analysis instead.
  • Authoring a new presentation — use pitch-deck-skeleton instead.
  • Formatting an existing document or tracker — use docx or xlsx instead.

Workflow

1. Inventory before reading

Collect the documents from input/ first, then sharepoint_onedrive-GetDriveChildren on the deal folder or data room the user names, and sharepoint_onedrive-SearchDrive for files filed elsewhere. Use the pdf skill for PDFs and host-InspectDocument for Office files.

List every document received: filename, type, page count, date, apparent purpose, and whether it was read via OCR. Present the inventory, name anything referenced by another document but not supplied as NOT PROVIDED, and continue into the analysis — flag gaps rather than waiting for an answer.

State the inventory before analyzing anything. If the user expects 40 data room files and supplied 12, that must surface immediately — not after a summary that appears complete.

What this file has done since we first saw it

Hashed on every crawl. A supply-chain change to an agent config is a question of when, not whether, so the history is kept rather than the latest state alone.
