Covenant + MAC/MAE Risk

Use this workflow when a forensic review needs sourced legal-risk analysis in addition to the accounting battery.

  1. Call mcp__ololand__list_deal_documents(deal_id) and identify the credit agreement/loan documents and merger agreement.
  2. Retrieve the raw clause text with mcp__ololand__grep_filing or mcp__ololand__search_deal_documents; do not pass an LLM summary.
  3. Call mcp__ololand__analyze_covenants(text) for leverage, coverage, cross-default, and other covenant terms. Preserve each returned source_quote.
  4. Call mcp__ololand__analyze_mac_mae(text) on the raw MAC/MAE provision. Preserve source_quotes, carve-outs, scope, and risk assessment.
  5. Report the deal risk level, exact source quotes/page references, and any missing or insufficient text. These analyzers are deterministic text-in/dict-out MCP tools and do not finalize legal conclusions.

Guardrails

  • Source every clause from the deal corpus before analysis; never invent covenant or MAC/MAE terms.
  • Keep accounting findings and legal-clause findings separate, then explain their interaction (for example, a covenant breach plus a broad MAC/MAE carve-out).
  • This workflow does not approve patches, IC packages, or document versions; those approvals are app/human-session only.
