Contract Generator (РК)
Скилл генерирует полный договор подряда на разработку веб-платформы (или иного IT-продукта) по законодательству Республики Казахстан с двумя приложениями и блоком рисков для Исполнителя.
Когда использовать
- Пользователь хочет составить новый договор на IT-разработку по РК.
- Нужен юридический шаблон под закон Казахстана (ГК РК ст. 616–639).
- Требуется договор с поэтапной оплатой, передачей ИС и приложениями (Спецификация + ТЗ).
Когда НЕ использовать
- Договор по российскому, украинскому, ЕС или любому иному законодательству — этот скилл только под РК.
- Трудовой договор, договор оказания услуг (договор услуг — отдельная глава ГК РК), NDA, лицензионный договор — скилл только под подряд.
- Готовый договор уже есть и нужна только редактура — используй обычный режим.
Процесс работы
Шаг 1. Уточняющие вопросы
ОБЯЗАТЕЛЬНО задай пользователю все вопросы из списка ниже одним сообщением, единым блоком. Не начинай генерацию пока не получены ответы. Если пользователь отвечает не на все — переспроси по конкретным пробелам.
Чтобы собрать договор, мне нужны вводные. Ответь по пунктам:
## 1. Стороны
1.1. Заказчик: полное наименование (ИП / ТОО / физлицо), ИИН/БИН, в лице кого, на основании какого документа.
1.2. Исполнитель: то же самое.
1.3. Город и дата подписания.
## 2. Предмет
2.1. Название продукта / Платформы.
2.2. Краткое описание в одну строку (например: «образовательная веб-платформа с LMS, оплатами, AI-агентом»).
2.3. Является ли ТЗ уже готовым отдельным документом или приложить шаблон-заглушку?
## 3. Цена и оплата
3.1. Общая стоимость работ (тенге, без НДС / с НДС / ИП на упрощёнке).
3.2. Количество траншей.
3.3. Размер и привязка каждого транша (% или сумма, привязка к Этапу / дате / Акту).
3.4. Срок оплаты после подписания Акта (рабочих дней).
3.5. Реквизиты обеих сторон (банк, БИК, ИИК) — если есть, иначе оставлю плейсхолдеры.
## 4. Сроки
4.1. Общий срок выполнения работ (с даты — по дату или N месяцев).
4.2. Количество Этапов и их названия.
4.3. Срок каждого Этапа.
4.4. Срок приёмки Заказчиком одного Этапа (рабочих дней на проверку).
## 5. Интеллектуальная собственность
5.1. Кому переходят исключительные права на РИД (по умолчанию: Заказчику после полной оплаты)?
5.2. Сохраняет ли Исполнитель право использовать наработки в портфолио / NDA-режим?
5.3. Используются ли open-source библиотеки / сторонние SaaS (Supabase, OpenAI и пр.) — кто платит за подписки?
## 6. Ответственность и штрафы
6.1. Пеня за просрочку оплаты Заказчиком (% от просроченной суммы за день, максимум).
6.2. Пеня за просрочку сдачи Этапа Исполнителем (% за день, максимум).
6.3. Лимит общей ответственности (например: не более суммы оплаченных траншей).
6.4. Форс-мажор — стандартная формулировка или особые условия?
## 7. Прочее
7.1. Конфиденциальность — срок действия NDA после расторжения (стандартно 3 года).
7.2. Подсудность (по умолчанию: суд по месту нахождения Ответчика, г. Алматы).
7.3. Язык договора (рус / каз / билингва).
7.4. Особые условия от пользователя.
