saas-msa-review-bossmann007

saas-msa-review-bossmann007 is a skill for Claude Code, Codex from ThomasMoreAI/legal-skills-open. It costs 69 tokens per session (5,633 once invoked), scanned A, a copy of saas-msa-review, Apache-2.0.

A review guide for SaaS and subscription agreements. SaaS means software provided online for a recurring fee, and the review focuses on terms that affect ongoing service, data, and renewal costs.

In plain words
What is it for?
Use it to review a SaaS or subscription agreement and examine renewal rules, price changes, uptime commitments, data return or transfer, and subprocessor rights alongside the standard contract checks.
Why use it?
It helps surface risks that can grow over time, such as automatic renewal, price increases, data portability, service-level promises, and rights to use subcontractors. These issues are easy to miss in a general contract review.

Token cost

What it costs to keep this loaded

Counted locally with the o200k_base tokenizer, which is exact for GPT models; Claude uses its own tokenizer and its counts differ. Treat this as one consistent yardstick across the catalogue rather than a bill. Prices are per million input tokens.

ModelPer sessionOnce invoked
Fable 5.1 $0.00069 $0.05633
Opus 5.5 $0.00028 $0.02253
Sonnet 5.5 $0.00014 $0.01127
Haiku 4.5 $0.00007 $0.00563

Security

Grade A, and why

saas-msa-review-bossmann007 scanned grade A with 0 findings against 26 rules in 11 categories — prompt injection, anti-refusal, data exfiltration, privilege escalation, supply chain, agent snooping, system-prompt leakage, SSRF and excessive agency — measured 24d ago.

A static scan of the body, not an audit. Every finding is printed with the line that produced it so you can judge whether it matters here. A mod is markdown that instructs an agent; that is exactly why what it instructs is worth reading.

Nothing flagged

None of the 26 patterns this scan looks for appear in this file: no shell pipes, no recursive deletes, no credential paths, no hidden text, no instruction-override or anti-refusal phrasing, no agent-config snooping. That is not a guarantee, it is the absence of the things that are checkable.

SaaS / Subscription Agreement Review

Matter context

Matter context. Check ## Matter workspaces in the practice-level CLAUDE.md. If Enabled is ✗ (the default for in-house users), skip the rest of this paragraph — skills use practice-level context and the matter machinery is invisible. If enabled and there is no active matter, ask: "Which matter is this for? Run /commercial-legal:matter-workspace switch <slug> or say practice-level." Load the active matter's matter.md for matter-specific context and overrides. Write outputs to the matter folder at ~/.claude/plugins/config/claude-for-legal/commercial-legal/matters/<matter-slug>/. Never read another matter's files unless Cross-matter context is on.

Purpose

SaaS agreements have a distinct risk profile from one-time vendor contracts. The dollars compound over renewals, the data accumulates, and the switching cost grows every month. This skill reviews with that in mind.

It runs the standard playbook check from ~/.claude/plugins/config/claude-for-legal/commercial-legal/CLAUDE.md and adds a SaaS-specific overlay on the terms that bite hardest in subscription deals.

Jurisdiction assumption

SaaS terms (auto-renewal notice requirements, price-escalation caps, data-portability mandates, subprocessor rules) are jurisdiction-sensitive — Brasil (CDC arts. 39/51 — práticas e cláusulas abusivas em contrato de adesão; foro de eleição CPC art. 63), Califórnia, Nova York, and EU rules diverge materially, and some states have auto-renewal statutes that override private contract terms. This review applies the team's positions from ~/.claude/plugins/config/claude-for-legal/commercial-legal/CLAUDE.md, which assume the governing law recorded there. If the agreement picks a different governing law, or the deal spans jurisdictions with statutory overrides (e.g., EU-based users, California consumers), flag it — the analysis may not transfer as written.

Subprocessors abaixo. What this file has done since we first saw it

Hashed on every crawl. A supply-chain change to an agent config is a question of when, not whether, so the history is kept rather than the latest state alone.
