material-contract-schedule

material-contract-schedule is a skill for Claude Code from uk-agents/uk-legal-plugins. It costs 68 tokens per session (1,757 once invoked), scanned A, original, Apache-2.0.

A workflow that builds a material-contract schedule, a transaction list of contracts that meet the agreement’s definition of material.

In plain words
What is it for?
It turns diligence findings into a formatted disclosure schedule, flags borderline cases, and adds consent-related items to the closing checklist.
Why use it?
It applies the exact definition and formatting in a sale or purchase agreement instead of relying on an informal contract list.

Token cost

What it costs to keep this loaded

Counted locally with the o200k_base tokenizer, which is exact for GPT models; Claude uses its own tokenizer and its counts differ. Treat this as one consistent yardstick across the catalogue rather than a bill. Prices are per million input tokens.

ModelPer sessionOnce invoked
Fable 5.1 $0.00068 $0.01757
Opus 5 $0.00034 $0.00879
Sonnet 5 $0.00014 $0.00351
Haiku 4.5 $0.00007 $0.00176

Security

Grade A, and why

material-contract-schedule scanned grade A with 0 findings against 26 rules in 11 categories — prompt injection, anti-refusal, data exfiltration, privilege escalation, supply chain, agent snooping, system-prompt leakage, SSRF and excessive agency — measured 11d ago.

A static scan of the body, not an audit. Every finding is printed with the line that produced it so you can judge whether it matters here. A mod is markdown that instructs an agent; that is exactly why what it instructs is worth reading.

Nothing flagged

None of the 26 patterns this scan looks for appear in this file: no shell pipes, no recursive deletes, no credential paths, no hidden text, no instruction-override or anti-refusal phrasing, no agent-config snooping. That is not a guarantee, it is the absence of the things that are checkable.

/material-contract-schedule

  1. Load SPA/APA → Material Contract definition + schedule format.
  2. Use the workflow below.
  3. Apply definition to diligence findings. Flag edge cases.
  4. Format per agreement. Consent overlay feeds closing checklist.

Matter context

Matter context. Check ## Matter workspaces in the practice-level CLAUDE.md. If Enabled is (the default for in-house users), skip the rest of this paragraph — skills use practice-level context and the matter machinery is invisible. If enabled and there is no active matter, ask: "Which matter is this for? Run /corporate-legal-uk:matter-workspace switch <slug> or say practice-level." Load the active matter's matter.md for matter-specific context and overrides. Write outputs to the matter folder at ~/.claude/plugins/config/uk-legal-plugins/corporate-legal-uk/matters/<matter-slug>/. Never read another matter's files unless Cross-matter context is on.

Purpose

The SPA/APA has a warranty: "Schedule [X] lists all Material Contracts." This skill builds that schedule from the diligence findings — which contracts are material per the agreement's definition, in the format the agreement requires. In English law M&A this is typically a warranty schedule delivered at exchange (and updated to completion on a locked-box deal) or at completion.

Load context

  • SPA/APA draft — for the definition of "Material Contract" and the schedule format
  • ~/.claude/plugins/config/uk-legal-plugins/corporate-legal-uk/CLAUDE.md → materiality thresholds (may differ from the agreement definition — use the agreement's)
  • Diligence findings from diligence-issue-extraction — contract-level data

Workflow

Step 1: Get the definition

Pull the definition of "Material Contract" from the SPA/APA — the agreement definition controls. Deal-structure differences (share purchase vs. asset purchase / business transfer) can change how a prong is interpreted:

  • Share purchase: target's contracts remain in force (no assignment required). Change-of-control provisions may still be triggered. Warranties speak as at exchange / completion.
  • Asset purchase / business transfer: contracts must be novated or assigned with counterparty consent unless the contract permits assignment without consent. TUPE applies to employees assigned to the business.

What this file has done since we first saw it

Hashed on every crawl. A supply-chain change to an agent config is a question of when, not whether, so the history is kept rather than the latest state alone.
