saas-msa-review

saas-msa-review is a skill for Claude Code from ZekaiSuni/claude-for-legal-turkish. It costs 69 tokens per session (1,107 once invoked), scanned A, original, Apache-2.0.

A review checklist for software-as-a-service and subscription contracts under a Turkish-law approach. SaaS means software accessed online rather than installed and operated entirely by the customer.

In plain words
What is it for?
Use it to examine automatic renewal, price increases, data portability, service levels, subcontractors, AI data use, liability, security, audits, termination, and the effect of foreign law or courts.
Why use it?
It brings recurring costs, renewals, data access, service reliability, and exit terms into one contract review.

Token cost

What it costs to keep this loaded

Counted locally with the o200k_base tokenizer, which is exact for GPT models; Claude uses its own tokenizer and its counts differ. Treat this as one consistent yardstick across the catalogue rather than a bill. Prices are per million input tokens.

ModelPer sessionOnce invoked
Fable 5.1 $0.00069 $0.01107
Opus 5 $0.00034 $0.00553
Sonnet 5 $0.00014 $0.00221
Haiku 4.5 $0.00007 $0.00111

Security

Grade A, and why

saas-msa-review scanned grade A with 0 findings against 26 rules in 11 categories — prompt injection, anti-refusal, data exfiltration, privilege escalation, supply chain, agent snooping, system-prompt leakage, SSRF and excessive agency — measured 12d ago.

A static scan of the body, not an audit. Every finding is printed with the line that produced it so you can judge whether it matters here. A mod is markdown that instructs an agent; that is exactly why what it instructs is worth reading.

Nothing flagged

None of the 26 patterns this scan looks for appear in this file: no shell pipes, no recursive deletes, no credential paths, no hidden text, no instruction-override or anti-refusal phrasing, no agent-config snooping. That is not a guarantee, it is the absence of the things that are checkable.

SaaS / Abonelik Sözleşmesi İncelemesi

SaaS ve abonelik sözleşmeleri maliyet, yenileme, veri, çıkış ve hizmet sürekliliği risklerini biriktirir. Bu skill genel commercial playbook'u uygular ve üzerine SaaS'a özgü Türk hukuk/pratik kontrollerini ekler.

Matter Context

Use commercial matter workspace rules. If active matter exists, load it and write outputs there.

Purpose

Review SaaS terms under the team's playbook and Turkish practice. Focus on:

  • automatic renewal and notice,
  • price escalation and FX,
  • data portability / exit,
  • SLA / uptime,
  • KVKK and subprocessors,
  • AI or machine-learning rights,
  • liability, indemnity, IP, security, audit, and termination.

Governing Law Assumption

Apply the profile's governing-law posture. If the contract selects foreign law or foreign courts/arbitration, flag that Turkish-law analysis may not transfer and route to attorney review if outside playbook.

Load Playbook

Read commercial-legal/CLAUDE.md:

  • general purchasing-side or sales-side playbook,
  • SaaS positions,
  • KVKK posture,
  • renewal preferences,
  • escalation matrix.

If SaaS positions are missing, ask and record position before issuing a clean result.

SaaS-Specific Review Layer

1. Automatic Renewal

Extract:

  • initial term,
  • current term,
  • renewal mechanism,
  • notice period,
  • notice method,
  • renewal price,
  • non-renewal consequences.

If a date can be tracked, create a renewal-tracker handoff:

renewal_handoff:
  counterparty:
  agreement:
  current_term_end:
  notice_period_days:
  notice_method:
  price_on_renewal:
  annual_value:
  currency: TL
  notes:

2. Price Escalation

Check unilateral price change, then-current list price, CPI/PPI/TÜFE/ÜFE, FX indexation, caps, notice, and termination right if price increases.

3. Data Portability and Exit

Check:

  • export format,
  • assistance period,
  • deletion certificate,
  • transition support,
  • fees for export,
  • API or backup access,
  • vendor lock-in.

4. SLA and Service Credits

What this file has done since we first saw it

Hashed on every crawl. A supply-chain change to an agent config is a question of when, not whether, so the history is kept rather than the latest state alone.
