Step 2 - Deal-Breaker Check

  • IP assignment / FSEK rights transfer,
  • KVKK cross-border transfer without approved mechanism,

  • exclusivity, non-compete, non-solicit,
  • indefinite unilateral price increase,
  • automatic renewal without practical notice,
