R&W Insurance Review
Purpose
Produce a structured, attorney-ready review of a representations-and-warranties insurance (RWI) policy or quote package against the deal documents. The skill inventories the policy, binder, and exclusions; maps the policy's coverage to the purchase agreement's representations; builds an exclusions register with each exclusion quoted verbatim; and records the retention, limit, no-claims-declaration, and subrogation terms and their interplay with the indemnity structure. It never concludes that a matter is or is not covered, never computes retention or limit adequacy, and never opines on a claim. This produces draft work product for attorney review — not legal advice, not a coverage determination.
Use When
- A buyer's or seller's deal team has received an RWI quote, binder, or policy and needs it reviewed against the purchase agreement before binding or closing.
- The coverage-to-reps mapping needs to be built so the team can see which representation areas are covered, excluded, or conditioned.
- The exclusions list (standard and deal-specific) needs to be inventoried and its carve-outs flagged.
- The retention, limit, and no-claims-declaration mechanics need to be recorded and their interplay with the purchase agreement's knowledge definitions checked.
- The RWI structure needs to be reconciled with the deal's indemnity architecture (walk-away vs. indemnity-backstop).
Required Inputs
- The RWI policy or quote package — binder, policy form, exclusions list/schedule, and any underwriting call agenda or underwriter's follow-up list. If only a quote is provided, note the policy form as a gap.
- The purchase agreement whose representations the policy covers. Without it the coverage-to-reps map cannot be built — request it.
- The client's posture: buyer/insured, seller, or the deal team coordinating the placement.
- Optional: the disclosure schedules and the diligence reports the underwriter reviewed — for the known-issues and diligence-scope exclusions.
- Optional: the indemnity structure the policy backstops (a walk-away deal or an indemnity-backstop deal).
