- § 309 Nr. 9 lit. b BGB n.F.: Stillschweigende Verlaengerung um eine bestimmte Dauer ist in B2C-Vertraegen über wiederkehrende Lieferung/Dienste generell unwirksam. Zulässig ist nur die Verlaengerung auf unbestimmte Zeit, sofern der Verbraucher jederzeit mit einer Frist von hoechstens einem Monat kuendigen kann. Achtung: Die alte Schwelle "Verlaengerung > 1 Jahr unwirksam" gilt seit dem 01.03.2022 nicht mehr - auch eine 12-Monats-Verlaengerung ist im B2C unwirksam.
- § 309 Nr. 9 lit. c BGB n.F.: Kuendigungsfrist von mehr als einem Monat zum Ablauf der zunaechst vorgesehenen Vertragsdauer - unwirksam (B2C). Hinweis: Der frueher hier ebenfalls erfasste Verlaengerungszeitraum ist mit der Reform entfallen, weil lit. b nur noch die Verlaengerung auf unbestimmte Zeit mit jederzeitiger Kuendbarkeit (max. 1 Monat) zulaesst; Fragen zur Kuendigungsfrist nach Verlaengerung beurteilen sich daher über lit. b bzw. § 307 BGB, nicht über lit. c.
- § 312k BGB (Kuendigungsbutton für Online-Verträge): Verbrauchervertraege im elektronischen Geschäftsverkehr über entgeltliche Leistungen müssen einen Kuendigungsbutton aufweisen, der ohne Login erreichbar ist. Verstoss: jederzeit kuendbar.
- B2B-Wertung über § 307 BGB: Erstlaufzeiten > 2 Jahre und Verlaengerungen > 1 Jahr im B2B kritisch, insbesondere bei branchenuntypisch langen Bindungen. Ausnahme: substantielle Investitionsamortisation (Server-Hosting, Lieferketten mit Vorlaufzeiten) sachlich begruendbar.
- EU-Verbraucherrechtsrichtlinie 2011/83/EU Art. 27: Verbot unaufgeforderter Lieferungen mit Bindungswirkung; durch Stillschweigen keine Verlaengerung herbeifuehrbar.
- Praxis-Tipp Auslandsbezug: Frankreich, Belgien, Niederlande haben ähnlich restriktive Regelungen; in UK/USA evergreen-Klauseln verbreiteter, aber bei deutschem Verbraucher unbeachtlich.
- Rechtsfolge: Unwirksamkeit; Vertrag endet zum urspruenglichen Endtermin oder ist jederzeit kuendbar (je nach Klauselart).
- Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
