- Abwehrklauseln ("AGB des Vertragspartners gelten nicht"): Treffen abwehrende und entgegenstehende AGB aufeinander, verdrängen sich beide. Eine Abwehrklausel hindert nicht die Verdrängung eigener Klauseln durch entgegenstehende AGB des Kunden.
- Konkrete Strategie:
- Individuelle Verhandlung dokumentieren zu allen wesentlichen Punkten (Haftung, Mängelrechte, Zahlung, Eigentumsvorbehalt). § 305b BGB: Individualabrede > AGB.
- Auftragsbestätigung mit ausdrücklicher Bezugnahme auf eigene AGB; Auftraggeber darf nicht widersprechen.
- Bei Schweigen: Kein Last-Shot, aber Annahme ggf. nach kaufmännischem Bestätigungsschreiben (B2B).
- Praxis-Tipp: Kritische Klauseln (Haftung, Gerichtsstand, Rechtswahl) im Verhandlungsprotokoll individualvertraglich vereinbaren - überspielt jede AGB-Kollision.
- Rechtsfolge: Knock-out: dispositives Recht gilt für die kollidierenden Bereiche; übrige AGB-Bestandteile bleiben jeweils wirksam, soweit sie sich nicht widersprechen.
- Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
