  5. Spezialfokus Battle of Forms (B2B - § 310 Abs. 1 BGB, §§ 154, 155 BGB):
  • Grundregel (deutsches Recht): Bei Kollision verdrängen sich die AGB der Vertragspartner gegenseitig in den kollidierenden Punkten ("Restgültigkeitslehre" / "Knock-out-Rule" - BGH, ständige Rechtsprechung). An ihre Stelle tritt das dispositive Gesetzesrecht.
  • Abweichende Theorie ("Last-Shot"): In einigen ausländischen Rechtsordnungen gilt: Die zuletzt versandten AGB sind maßgeblich. In Deutschland gilt diese Regel grundsätzlich nicht; Ausnahme nur, wenn die zuletzt versandten AGB ausdrücklich akzeptiert wurden.
  • CISG (UN-Kaufrecht): Bei internationalen Warenkäufen gilt - nach h.M. - ebenfalls die Knock-out-Rule (Art. 19 CISG); in der älteren Rechtsprechung teilweise Mirror-Image-Rule.
  • Abwehrklauseln ("AGB des Vertragspartners gelten nicht"): Treffen abwehrende und entgegenstehende AGB aufeinander, verdrängen sich beide. Eine Abwehrklausel hindert nicht die Verdrängung eigener Klauseln durch entgegenstehende AGB des Kunden.
  • Konkrete Strategie:
  • Individuelle Verhandlung dokumentieren zu allen wesentlichen Punkten (Haftung, Mängelrechte, Zahlung, Eigentumsvorbehalt). § 305b BGB: Individualabrede > AGB.
  • Auftragsbestätigung mit ausdrücklicher Bezugnahme auf eigene AGB; Auftraggeber darf nicht widersprechen.
  • Bei Schweigen: Kein Last-Shot, aber Annahme ggf. nach kaufmännischem Bestätigungsschreiben (B2B).
  • Praxis-Tipp: Kritische Klauseln (Haftung, Gerichtsstand, Rechtswahl) im Verhandlungsprotokoll individualvertraglich vereinbaren - überspielt jede AGB-Kollision.
  1. Rechtsfolge: Knock-out: dispositives Recht gilt für die kollidierenden Bereiche; übrige AGB-Bestandteile bleiben jeweils wirksam, soweit sie sich nicht widersprechen.
  2. Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
