- § 305 Abs. 1 S. 3 BGB: Keine AGB sind solche Bedingungen, die zwischen den Vertragsparteien im Einzelnen ausgehandelt sind. "Aushandeln" verlangt: ernsthafte Verhandlungsbereitschaft des Verwenders, Moeglichkeit der Einflussnahme, nicht nur "Take-it-or-leave-it".
- Verbraucher-Sonderregel § 310 Abs. 3 Nr. 2 BGB: Im Verbrauchervertrag (B2C) gelten die AGB-Regeln auch für einmalig vorformulierte Vertragsbedingungen, wenn der Verbraucher auf ihren Inhalt keinen Einfluss nehmen konnte (Einmalverwendungsklauseln). Achtung: Diese Vorschrift gilt ausschließlich im B2C; im B2B bleibt es bei dem Erfordernis der Vielzahl-Verwendung nach § 305 Abs. 1 BGB. Einmalverwendungsklauseln im reinen B2B-Vertrag sind keine AGB.
- Verhandlungs-Indikatoren: Änderungen an der Klausel waehrend Verhandlung, Verhandlungsprotokoll, abweichende Formulierung gegenueber dem Standardmuster. Reine Auswahl zwischen vorformulierten Optionen reicht nicht.
- Praktische Faustregel: Wer einen Vertrag mit "Standard-AGB im Anhang" praesentiert, hat fast immer AGB i.S.d. § 305 BGB. "Mein erster Wurf, der wird angepasst" reicht ebenfalls aus, wenn die Anpassung nur Detailaenderungen betrifft.
- § 305b BGB - Vorrang Individualabrede: Individuelle Vereinbarungen ueberbietsen AGB, auch wenn die AGB widersprechen.
- Rechtsfolge: Wenn AGB-Qualifikation verneint, keine §§ 305 ff. BGB Prüfung, Klausel unterliegt nur §§ 138, 242, 134 BGB.
- Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
