- Inhaltskontrolle: § 307 BGB als Grundprüfung, danach einschlägige Klauselverbote aus §§ 308, 309 BGB und § 310 BGB einordnen.
- Spezialfokus Eigentumsvorbehalt (§§ 449, 925, 158 BGB):
- Einfacher EV (§ 449 Abs. 1 BGB): Eigentum geht erst mit vollständiger Kaufpreiszahlung über, aufschiebend bedingte Übereignung nach § 158 Abs. 1 BGB. Wirksam auch B2C.
- Verlängerter EV (Vorausabtretung der Forderungen aus Weiterverkauf): B2B üblich; B2C regelmäßig zu weitgehend und über § 307 BGB unwirksam, weil Verbraucher kein Gewerbe betreibt.
- Erweiterter EV (Kontokorrentvorbehalt): Eigentumsvorbehalt sichert sämtliche aktuellen und zukünftigen Forderungen. Im B2B grundsätzlich zulässig, im B2C unzulässig (§ 449 Abs. 3 BGB).
- Konzernvorbehalt (Forderungen auch zugunsten verbundener Unternehmen): § 449 Abs. 3 BGB Verbot - immer unwirksam.
- Sicherungs-/Verarbeitungsklausel: Bei Verarbeitung durch den Kunden Vorbehalt am Endprodukt; Verarbeitungsklausel "im Namen und für den Verwender" muss klar formuliert sein, sonst Wirkung nur auf Miteigentum nach § 947 BGB.
- Praxis-Hinweise: Im Auslandsgeschäft ist Eigentumsvorbehalt häufig nicht oder nur eingeschränkt anerkannt (z.B. Frankreich erst nach Eintragung; UK kennt nur Romalpa-Clause). Internationale Kollisionsregeln über Art. 43 EGBGB / lex rei sitae prüfen.
- Insolvenzfestigkeit: Einfacher EV gewährt Aussonderungsrecht § 47 InsO; verlängerter EV gewährt Absonderungsrecht §§ 50, 51 InsO an der vorausabgetretenen Forderung.
- Rechtsfolge: Bei Unzulässigkeit Wegfall der Sicherung, voller Eigentumsübergang nach § 929 BGB.
- Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
