- (b) Möglichkeit der Kenntnisnahme in zumutbarer Weise. Schriftgröße, Sprache, technische Zugänglichkeit müssen beachtet werden.
- (c) Einverständnis des Vertragspartners (Annahme, ausdrücklich oder durch schlüssiges Verhalten in Kenntnis).
- B2B (§ 310 Abs. 1 BGB): Erleichterungen. Es genügt der Hinweis und das Schweigen des Vertragspartners (z.B. kaufmännisches Bestätigungsschreiben). Aber: Bei eingelassenem Klauselverstoß auch im B2B Einbeziehung nicht erlangt.
- Online (§ 305 Abs. 2 i.V.m. § 312i Abs. 1 S. 1 Nr. 4 BGB): Klickdummy-Verfahren ("Ich habe die AGB gelesen") setzt voraus: (i) AGB sind unmittelbar abrufbar (Verlinkung), (ii) speicher- und ausdruckbar, (iii) Bestätigung erfolgt vor Vertragsschluss.
- Browsewrap (bloße Verlinkung im Footer) reicht regelmäßig nicht. Clickwrap-Bestätigung notwendig.
- Überraschende Klauseln (§ 305c Abs. 1 BGB): Klauseln, die nach Umständen so ungewöhnlich sind, dass der Vertragspartner nicht damit zu rechnen brauchte, werden nicht Vertragsbestandteil - auch wenn Einbeziehungsvoraussetzungen formal erfüllt sind.
- § 305b BGB: Individualabreden haben Vorrang vor AGB.
- Rechtsfolge: Bei fehlender Einbeziehung: AGB werden nicht Vertragsbestandteil, gesetzliche Regelung greift (§ 306 Abs. 2 BGB).
- Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
