- (c) Wird von diesen Grundgedanken abgewichen? Reine Praezisierungen sind unkritisch; substantielle Verschiebungen sind kritisch.
- (d) Liegt eine "unangemessene" Benachteiligung vor? Maßstab: Treu und Glauben (§ 242 BGB).
- Indizwirkung: § 307 Abs. 2 Nr. 1 BGB schafft eine Indizwirkung; widerlegbar bei substantieller Begruendung des Verwenders (z.B. besondere Risikoallokation, Massengeschaeft-Effizienz).
- Beispiele unwirksamer Leitbild-Abweichung:
- Verschuldensunabhaengige Haftung des Kunden bei verspaeteter Annahme (Abweichung von §§ 286, 304 BGB Änderung der Risikotragung).
- Vorab-Bezahlung ohne Reziprozitaet im Werkvertrag (Abweichung von § 641 BGB Vorleistungsregel).
- Erfuellung erst nach vollstaendiger Bezahlung im Kaufvertrag (Abweichung vom Zug-um-Zug-Prinzip § 320 BGB).
- B2B-Ausstrahlung: § 307 BGB gilt im B2B uneingeschraenkt; Wertungsmassstab ist die im Verkehrsbereich uebliche Risikoallokation und ggf. ergaenzend die §§ 308, 309 BGB.
- Rechtsfolge: Unwirksamkeit; Rueckkehr zum gesetzlichen Leitbild als Ergaenzungsregel (§ 306 Abs. 2 BGB).
- Verbesserung: mindestens eine sichere Ersatzfassung und bei Bedarf eine verhandelbare Fallback-Fassung formulieren.
