It is intended for law firms, legal departments, and advisers handling areas such as employment, corporate, insolvency, data protection, and litigation law. Klauselausfall und Vertragslücke prüfen
1. Zweck und Anwendungsfall
Feststellen, welcher Vertragsinhalt nach Ausfall einer Bestimmung verbleibt. Die nachträgliche Rechtsfolgenprüfung ist von einer neuen Vereinbarung für die Zukunft zu trennen.
2. Eingaben
Vollständige Klausel, benachbarte Regelungen, Grund der Nichteinbeziehung oder Unwirksamkeit, Vertragstyp, Abschlussdatum, Parteistatus und gewünschte Rechtsfolge. Bei nur angenommener Unwirksamkeit das Ergebnis als bedingt kennzeichnen.
3. Ablauf
3.1. Ausfallgrund und betroffene selbständige Regelungen bestimmen. Nur bei Streit über den Restbestand Teilbarkeit lesen. Sprachliche Streichbarkeit allein genügt nicht; eine unzulässige Reichweite darf nicht auf das gerade noch Erlaubte verkürzt werden.
3.2. Eine vorhandene Erhaltungsklausel mit Salvatorische Klausel prüfen. Nicht ihren Wortlaut als eigenständige Erlaubnis zur Reparatur behandeln.
3.3. Nach Paragraf 306 Absatz 2 BGB gesetzliches Ersatzrecht ermitteln. Nur wenn eine offene Vertragslücke behauptet wird, Lückenfüllung laden. Hypothetischen Parteiwillen nicht mit wirtschaftlichem Verwenderinteresse gleichsetzen.
3.4. Vertragsfortbestand und unzumutbare Härte nach Absatz 3 gesondert beurteilen. Rückforderung, Verjährung und Durchsetzung bleiben Aufgaben des vorhandenen Rückabwicklungsskills; keine automatische Gesamtrückabwicklung anordnen.
4. Quellenpflicht
Zitierweise sowie die amtlichen Belege der jeweils geladenen Referenz verwenden. Neben Paragraf 306 BGB nur das konkrete Ersatzrecht prüfen. Keine ungesicherte Indexkopplung oder Literaturfundstelle übernehmen.
5. Ausgabeformat
Ausfallvermerk mit gestrichenem Regelungsgehalt, begründetem Restbestand, gesetzlicher Ersatzregel, verbleibender Lücke und Anschlussentscheidung. Vollständige ausformulierte Sätze; keine Skelette, Halbsätze oder reinen Aufzählungen. Formatierte Dokumente in Times New Roman 11 pt, ausschließlich dezimal und mit Leerzeilen gliedern; Markdown erhält den Exporthinweis.
