Klauseltransparenz prüfen
1. Zweck und Anwendungsfall
Eine konkrete Klausel einschließlich ihres erkennbaren Vertragsumfelds auf Transparenz prüfen. Sprachliche Verbesserung allein ersetzt keine Wirksamkeitsprüfung. Inhaltsangemessenheit, Einbeziehung und Überraschung bleiben getrennte Fragen.
2. Eingaben
Wortlaut, Fassung, Vertragsdatum, Kundengruppe, Vertragstyp sowie tatsächlich zugängliche Anlagen und Preislisten lesen. Fehlende Verweisziele benennen; keine unbekannte Anlage als wirksam einbezogen behandeln.
3. Ablauf
3.1. Regelungsgegenstand, Auslöser, Berechnung, Dauer, Reaktionspflicht und Rechtsfolge aus dem Text ermitteln. Widersprüche zwischen Haupttext und Anlagen sichtbar machen.
3.2. Bei unbestimmten Begriffen oder Verweisen Transparenzprüfung laden. Den aufmerksamen Durchschnittskunden der konkreten Vertragsart zugrunde legen, nicht den flüchtigen Leser und nicht stets einen juristischen Laien ohne Branchenkenntnis.
3.3. Entscheiden, welche Belastung objektiv nicht erkennbar bleibt. Eine bloße Rückfrage oder eine mögliche bessere Formulierung genügt nicht als Unwirksamkeitsgrund. Paragraf 307 Absatz 1 Satz 2 in Verbindung mit Satz 1 und Absatz 3 BGB prüfen.
3.4. Ersatzfassung mit denselben wirtschaftlichen Zielen, aber bestimmten Voraussetzungen und Folgen formulieren. Materielle Grenzen nötigenfalls mit Klauselinhalt prüfen bearbeiten; keine zweite Gesamtprüfung starten.
4. Quellenpflicht
Zitierweise beachten. Paragraf 307 BGB und die in der Referenz belegte BGH-Entscheidung vom 13.11.2025 prüfen; konkrete Randnummer und Abrufdatum nennen. Cookie-Einwilligungen und Schiedsvereinbarungen brauchen zusätzlich ihre sachlichen Spezialmaßstäbe, nicht allein Transparenzprüfung.
5. Ausgabeformat
Originalstelle, konkrete Unklarheit, betroffene Belastung, Gegenargument, belegtes Ergebnis und Ersatzfassung liefern. Das Endprodukt besteht aus vollständigen, ausformulierten Sätzen; keine Skelette, Halbsätze oder bloßen Aufzählungen. Formatierte Dokumente: Times New Roman 11 pt, ausschließlich dezimale Gliederung mit Leerzeilen. Bei Markdown den Exporthinweis aufnehmen.
