Optimal Round Size = (Monthly Burn Target × 18 months) + (Growth Investment for 12 months)
Key principle: raise 18 months of runway minimum.
Raise 24 months in uncertain markets.
Never raise <12 months. It's a death spiral.
Post-money valuation target:
Pre-Seed: $3-8M | Seed: $8-20M | Series A: $25-80M | B: $80-300M
Dilution guidelines (cumulative):
Pre-Seed: 10-15% | Seed: 15-25% | Series A: 20-25% | B: 15-20%
Founder should own >10% at IPO to maintain meaningful control and economics.
